• "Platform" refers to the Symbern website, investor portals, data rooms, and related digital services.
• "Founder" refers to an individual or company representative engaging Symbern for investment or venture support.
• "Investor" refers to a limited partner, co-investor, or other capital partner interacting with Symbern.
• "Engagement" refers to any advisory, investment, incubation, or partnership agreement facilitated by Symbern.
• "User" refers to any individual who uses our Platform, including founders, investors, experts, or team members.
• "Content" refers to any information, data, documents, pitch materials, or other assets shared through the Platform.

3. Eligibility and Registration

To use our Platform, you must:

• Be at least 18 years old and legally able to enter into binding agreements.
• Act on behalf of yourself, your company, or your investment entity with proper authority.
• Provide accurate, current, and complete registration information.
• Satisfy any applicable regulatory requirements, including accredited or qualified investor status where required.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• Facilitating access to capital, expert networks, and go-to-market resources.
• Providing operational support, advisory programs, and portfolio enablement.
• Hosting diligence rooms, data exchanges, and communications between stakeholders.
• Managing investor relations, reporting, and compliance obligations.

We reserve the right to modify, suspend, or discontinue any aspect of our Platform at any time.

5. User Responsibilities

Founder Responsibilities

• Provide accurate and complete information about your business, team, and traction.
• Ensure that any materials uploaded to our Platform do not infringe third-party rights.
• Comply with confidentiality obligations and data room protocols.
• Use Symbern resources in alignment with agreed engagement scopes.
• Notify us promptly of material changes affecting your company or fundraising.

Investor Responsibilities

• Maintain the confidentiality of diligence information and proprietary materials.
• Represent and warrant that you meet applicable regulatory qualifications.
• Use the Platform for legitimate evaluation or partnership purposes only.
• Comply with securities laws and refrain from unauthorized solicitation.
• Update your account information to keep it accurate and current.

6. Prohibited Activities

You agree not to:

• Use the platform for any illegal or unauthorized purpose.
• Provide false, misleading, or incomplete information.
• Attempt to circumvent any security measures.
• Interfere with or disrupt the platform's operation.
• Use the platform to harass, abuse, or harm others.

By engaging with Symbern, you acknowledge the following:

• Investments in early-stage companies involve significant risk, including the potential loss of capital.
• Symbern does not guarantee investment outcomes, portfolio performance, or future fundraising success.
• Users are responsible for their own independent legal, financial, and tax advice.
• Symbern is not liable for representations made by third parties, including founders or investors.
• Symbern may work with external advisors, but all decisions remain the responsibility of the participating users.

Symbern acts as a facilitator and partner but does not assume fiduciary responsibility unless explicitly stated in a governing agreement.

9. Dispute Resolution

In the event of disputes:

• Users should first attempt to resolve disputes directly.
• Symbern may provide mediation services for platform-related issues.
• Legal disputes will be resolved through binding arbitration.
• Users agree to waive their right to a jury trial.
• Disputes will be governed by the laws of the jurisdiction where Symbern operates.

10. Account Termination

We may terminate or suspend your account:

• For violation of these Terms.
• For fraudulent or illegal activities.
• For failure to pay required fees.

Upon termination, you must immediately cease using the platform and settle any outstanding obligations.
